Conditions of Sale

Terms version 2026-10-27 · updated Oct 29 · California law

A sale is formed when BuyiMax confirms an order and issues its invoice; until then an order is the Buyer's offer to buy. Words defined in the Terms of Service have the same meaning here.

1. Placing an order. An order placed on the Site (from the cart, an order sheet, an accepted offer, an accepted quote or a winning bid) is the Buyer's offer to buy the stated quantity of each listing at the price shown, with the shipping method, Shipment Protection choice, ship-to address and payment method chosen. The Buyer confirms the order details before placing it.

2. Units reserved. When an order is placed, the Site reserves specific Units of each listing by unit code. Those Units, and no others, are the Units sold, unless they are swapped or removed under section 6.

3. Unpaid-hold limit. Each Buyer has a limit on what it may owe at once on open orders ($10,000 for a new Buyer unless we set another). An order that would take the Buyer over its limit waits for our review and reserves nothing. We may approve it, in which case it reserves what is still available and we tell the Buyer of any shortfall; the Buyer may then cancel it, even if it came from an accepted offer, quote or bid. Or we may cancel it.

4. Confirmation and invoice. We aim to confirm each order within one business day. Confirmation is our acceptance; it issues an invoice numbered by BuyiMax, stating each Unit, its price, the shipping, any Shipment Protection, the sales tax position, the total and the due date. If an order is not confirmed by the end of the next business day after it was placed, the Buyer may cancel it.

5. Price changes and errors. If a price rises between the cart and the order, the Buyer is asked to place the order again at the new price. If a listing, price or description contains an obvious error, we may cancel the affected lines before shipment and refund any payment for them.

6. Changes to reserved Units before shipment. Units come from our operations stock and may change after an order is placed, for example a different battery reading, a test result or a device status found later. When that happens:

7. Revisions. An issued invoice is never edited. To remove or replace Units after it, we send a new revision of the invoice (Rev 2, Rev 3 and so on) with the reason. The Buyer accepts it or cancels the order within two business days; if the Buyer does neither, the revision lapses and the earlier invoice stands. The payment window pauses while a revision waits. Money paid beyond a revised total is credited back or refunded under the Payment Terms.

8. Cancellation.

9. Shipping method. The Buyer may change the shipping method and Shipment Protection until we confirm the order; after that they are fixed and appear on the invoice.

10. Hand-over and manifest. When a paid order is handed over to the carrier or the Buyer, we send the Buyer its manifest listing each Unit's code and IMEI or serial number.

11. Title. Title to each Unit passes to the Buyer when the order is paid in full. Risk of loss passes as the Shipping, Risk of Loss and Shipment Protection document states.

12. Inspection and acceptance. The Buyer inspects Units promptly on delivery. Shortages and transit damage are reported as the Shipping document states; any other claim that a Unit does not match its listing is made through the Returns and RMA Policy within its window. Units not claimed within those times are accepted.

13. Replacements. A replacement for a returned Unit is a $0 order, with no shipping charged, that the Buyer may not cancel; it is otherwise handled like any order.
